Company Overview

A rapidly growing U.S.-based solar module manufacturer headquartered in the Houston, Texas area is seeking an Associate General Counsel to join its legal team. The company specializes in producing high-quality solar products for utility-scale, commercial, and residential projects and is committed to delivering reliable, responsibly manufactured renewable energy solutions.

Position Overview
The Associate General Counsel will support the General Counsel, executive leadership team, and commercial teams with a broad range of legal matters, with a primary focus on transactional work. This role will be responsible for drafting, reviewing, and negotiating commercial agreements, supporting business operations, advising internal stakeholders, and managing day-to-day legal activities.
The ideal candidate is a detail-oriented, business-focused attorney who can work independently, manage competing priorities, and provide practical legal guidance in a fast-paced manufacturing and renewable energy environment.

Key Responsibilities

  • Draft, review, and negotiate a variety of commercial agreements, including purchase agreements, supplier agreements, vendor contracts, intercompany agreements, equipment agreements, construction contracts, and lease agreements. 
  • Provide legal guidance to internal teams regarding contract terms, payment structures, insurance requirements, bonding, compliance obligations, and business risks. 
  • Prepare contractual communications, including formal notices, default letters, and other correspondence with customers and third parties. 
  • Partner with project and operations teams on contract interpretation, compliance tracking, enforcement matters, and risk mitigation. 
  • Assist with disputes, claims, and litigation matters as needed. 
  • Ensure agreements and business practices comply with applicable federal, state, and local regulations. 
  • Collaborate with outside counsel on specialized legal matters. 
  • Maintain accurate contract records, including agreements, amendments, approvals, and key deadlines. 
  • Review NDAs, vendor agreements, internal policies, and other legal documents. 
  • Support corporate governance activities, including maintaining corporate records, organizational documents, and filings. 
Qualifications

  • Juris Doctor (JD) degree from an accredited U.S. law school. 
  • Active license to practice law in at least one U.S. jurisdiction. 
  • 4–7 years of experience in transactional legal work, preferably with experience in commercial contracts, UCC transactions, supply agreements, or manufacturing environments. 
  • Strong understanding of contract negotiation, commercial risk management, and legal strategy. 
  • Ability to provide practical, business-oriented legal advice across multiple departments. 
  • Excellent attention to detail, organization, and communication skills. 
  • Strong written and verbal communication abilities. 
  • Experience with Microsoft Office and contract management systems. 
Work Location & Schedule

  • Houston, TX 
  • Office-based role with flexibility for remote work one day per week 
  • Monday–Friday schedule, standard 8-hour workday
