The Role

We’re seeking an experienced Corporate Counsel with a background in the renewable energy or manufacturing industry to provide strategic legal guidance, ensure compliance, and mitigate risk across the business. The ideal candidate will have strong experience negotiating complex commercial agreements and advising on tax equity, regulatory, and transactional matters within the solar or broader energy sector.

Key Responsibilities

  • Litigation Management: Oversee and coordinate outside counsel for litigation matters, including warranty claims, contract disputes, and compliance issues.
  • Transactional Support: Provide legal guidance on corporate transactions, partnerships, and strategic initiatives.
  • Risk Management: Identify and mitigate legal risks in areas such as intellectual property, employment, data privacy, and environmental compliance.
  • Regulatory Compliance: Monitor and interpret evolving federal, state, and local regulations related to renewable energy, including tax incentives and import/export policies.
  • Contract Negotiation: Draft, review, and negotiate key commercial agreements such as PPAs, MSAs, consulting agreements, NDAs, and supply contracts.
  • Advisory Role: Collaborate cross-functionally to align business objectives with legal strategy and provide practical, solution-oriented counsel.
  • Perform additional duties as required to support the company’s evolving needs.
Requirements

  • Juris Doctor (JD) and active membership in the California or Texas Bar (preferred)
  • 5–8 years of relevant legal experience, ideally within the renewable energy, infrastructure, or manufacturing industries
  • Strong background in commercial contracts, energy law, and regulatory compliance
  • Excellent communication, negotiation, and organizational skills
  • Ability to manage multiple priorities in a fast-paced, evolving environment
  • Must be able to work on-site in the Irvine, CA office at least three days per week
Preferred Skills

  • Detail-oriented with exceptional organizational abilities
  • Strategic thinker with a proactive approach to legal problem-solving
  • Fluency or conversational ability in Mandarin is a plus, but not required
  • Proficiency with Microsoft Office, Google Suite, and contract management platforms (e.g., DocuSign)
